1. Introduction
Welcome to SpiraWorks. These Terms and Conditions (“Terms”) govern your access to and use of our virtual assistant services. By engaging with SpiraWorks, you agree to be bound by these Terms.
2. Services
SpiraWorks provides virtual assistant services to entrepreneurs, startups, small businesses, and teams. Services may include but are not limited to:
- Administrative Support
- Customer Support
- Real Estate Support
- eCommerce Support
- AI Tool & Automation Support
- IT Support & Cybersecurity
- Data Analysis & Visualization
- Website Support & Maintenance
- Other related remote tasks
The exact services offered will be outlined in the Service Agreement or Proposal shared with the client.
3. Engagement and Scope
All services provided by SpiraWorks will be outlined and agreed upon in writing before commencement. Any requests beyond the agreed scope may be subject to additional fees or a separate agreement.
4. Client Responsibilities
Clients agree to:
- Provide clear instructions and necessary access to tools and platforms
- Respond promptly to communications
- Maintain a respectful and professional relationship
SpiraWorks shall not be held liable for delays or errors resulting from lack of input or delayed responses from the client.
5. Payment Terms
- All fees are quoted in [currency] and will be clearly outlined in the proposal or invoice.
- Payment is required in advance unless otherwise agreed.
- Late payments may result in paused services or termination of the agreement.
- Refunds are not issued for hours already worked unless explicitly agreed upon.
6. Confidentiality
SpiraWorks agrees to maintain confidentiality of all sensitive client data and information. Any data shared will only be used for the purpose of delivering services and will not be disclosed to third parties without the client’s consent, unless required by law.
7. Intellectual Property
All work delivered by SpiraWorks belongs to the client once full payment is received. SpiraWorks retains no rights to the work or content created for the client unless agreed otherwise.
8. Termination
Either party may terminate the agreement with written notice. Upon termination:
- Any outstanding work will be delivered (if paid for)
- Any unused hours or retainers may not be refunded unless otherwise agreed
- Both parties agree to maintain confidentiality beyond the termination date
9. Limitation of Liability
SpiraWorks is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services. Our maximum liability is limited to the amount paid for the specific service giving rise to the claim.
10. Independent Contractor
SpiraWorks and its assistants are independent contractors. Nothing in these Terms creates a partnership, joint venture, or employer-employee relationship between SpiraWorks and the client.
11. Governing Law
These Terms shall be governed by the laws of:
- India (for clients located in India)
- United States of America (for clients located in the USA)
- United Kingdom (for clients located in the UK)
- Canada (for clients located in Canada)
- European Union / European Economic Area (EEA) (for clients located in EU/EEA countries)
- The applicable jurisdiction where the client is located, where required by law
12. Changes to Terms
SpiraWorks reserves the right to modify these Terms at any time. Continued use of our services after any changes constitutes your acceptance of the revised Terms.
